Mineflow Ads Advertising Terms & Conditions

1. Definitions

Advertiser: The entity or person whose products/services are featured in the Advertising Material.

Advertising Material: Promotional content (text, images, audio, video) for placement on platforms per the Agreement.

Agreement: These Terms and Conditions and associated Booking Terms.

Booking Terms: Insertion order or documents detailing the ad placement, accepted in writing by the Publisher.

Client: The Advertiser and/or its advertising agency.

Platform: Publisher Platforms and Third Party Platforms where the Advertising Material will appear.

Publisher: The company publishing the relevant platform for the Advertising Material.

User: Anyone who engages with a Platform.

2. Publisher’s Rights & Obligations

Publisher will place the Advertising Material on agreed Platforms, but does not guarantee specific placement. Publisher retains editorial control over its platforms and owns all rights to materials it produces.

3. Client’s Rights & Obligations

Client must provide the Advertising Material or necessary information by the agreed delivery date.

Client must not rotate ads for multiple advertisers in a single ad tag or generate fraudulent impressions.

4. Acceptance

Placement of an order implies acceptance of these terms. Any verbal or non-approved conditions by the Client are void.

5. Advertising Material Publisher may modify or omit Advertising Material if it violates policies or laws, and will attempt to consult the Client.

6. Charges

Fees must be paid in advance unless credit has been extended. Late payments incur interest charges.

7. Errors

Clients must check the first appearance of the ad and notify Publisher of errors within 7 days for corrections.

8. Warranties

Both parties warrant they have authority to enter this Agreement, and the Client warrants that their content complies with all relevant laws.

9. Liability

Client indemnifies Publisher against claims arising from the Advertising Material. Publisher’s liability is limited to the fees paid.

10. Intellectual Property

Client owns the intellectual property in their materials but licenses Publisher to use it for the ad placement.

11. Confidentiality & Data Both parties agree to confidentiality and compliance with data protection laws.

12. Cancellation & Termination Orders cannot be canceled after execution begins, and 28 days’ notice is required for cancellation before execution.
